ROYL Technologies LLC — Affiliate Terms of Service


This charter captures the complete terms for the Affiliate referral program operated by ROYL Technologies LLC ("Company"). Affiliates are the entry point to the AEOS ecosystem — every user who signs up automatically becomes an Affiliate with a unique tracking link and the ability to earn referral commissions. This document is the source of truth for all Affiliate terms and will be converted to formal Terms of Service by legal counsel.

1. Overview


1.1 What is the Affiliate Program


The AEOS Affiliate Program is a free referral program that allows any user to earn commissions by referring new customers to AEOS products and services. There is no application process, no fee, and no qualification. Every person who creates an AEOS account or purchases an AEOS product automatically becomes an Affiliate with a unique tracking ID.


1.2 Relationship to Partner Program


The Affiliate Program is the entry tier of the AEOS ecosystem. Affiliates who wish to access deeper commission structures (7-level overrides, lifetime commissions, CRM access, client management) may upgrade to the Partner tier by completing the AEOS Partner Certification Program. The upgrade path is always available and is governed by a separate Partner Agreement.


1.3 Acceptance


By using a tracking link, sharing a referral code, or otherwise participating in the Affiliate Program, the Affiliate agrees to be bound by these Terms of Service. If the Affiliate does not agree to these Terms, they must not participate in the Affiliate Program.




2. Eligibility


2.1 Who Can Be an Affiliate


Any individual who:


  1. Is at least 18 years of age (or the age of legal majority in their jurisdiction)
  2. Creates an AEOS account or purchases an AEOS product
  3. Is not currently suspended or terminated from the AEOS ecosystem
  4. Is not subject to any legal restriction that would prevent participation

  5. 2.2 Automatic Enrollment


    Affiliate status is granted automatically upon account creation or first purchase. No application, approval, or fee is required. The Affiliate receives a unique tracking link and referral code immediately upon enrollment.


    2.3 No Ongoing Obligations


    Affiliates have no minimum activity requirements, no purchase obligations, and no fees. The Affiliate Program is free forever. Affiliate accounts are always active and cannot be paused (unlike Partner accounts).




    3. Commission Structure


    3.1 Commission Terms

    3.2 Commission Source


    Affiliate commissions are deducted from the recruiting Partner's Level 1 commission (20%). The Partner nets 10% on transactions generated through their Affiliates. If no Partner is in the referral chain (corporate-acquired Affiliate), the Company absorbs the 10% from its own margin.


    The total commission payout structure is never increased by the Affiliate layer — it is a redistribution within the existing 36% commission pool.


    3.3 Commissionable Volume (CV)


    CV is calculated at the moment of transaction and represents the portion of the product price that is eligible for commission calculation. CV is defined per product in the RACE 2 BMADE charter. The Affiliate earns 10% of the CV generated by their referred customers, not 10% of the retail price.


    3.4 Attribution Window


    1. When a user clicks the Affiliate's tracking link, a 30-day cookie is set
    2. If the user purchases within 30 days, the sale is attributed to the Affiliate
    3. If multiple Affiliates' links are clicked, the last click within the 30-day window receives attribution (last-click attribution)
    4. Once a customer is attributed to an Affiliate, the 3-month commission window begins from the date of the customer's first purchase

    5. 3.5 No Retroactive Credit on Partner Upgrade


      If an Affiliate upgrades to Partner, there is no retroactive conversion of existing Affiliate commissions. Existing referrals within their 3-month Affiliate window continue at the 10% Affiliate rate until expiry. The Partner commission structure applies to all future transactions only.




      4. Payout Operations


      4.1 Settlement Schedule


      Affiliate commissions are settled monthly. Commissions earned during a calendar month are paid on the 15th of the following month, subject to the minimum payout threshold.


      4.2 Minimum Payout


      The minimum payout threshold is $100. Balances below $100 roll forward to the next settlement cycle. There is no expiration on accumulated balances.


      4.3 Payout Methods


      Affiliates may select from the following payout methods:


      1. ACH direct deposit (US bank accounts)
      2. PayPal
      3. AEOS Credits (applied to the Affiliate's own AEOS account)

      4. Additional payout methods (wire transfer, Wise, cryptocurrency) are available upon upgrade to the Partner tier.


        4.4 Tax Requirements


        1. Affiliates earning more than $600 in a calendar year will receive Form 1099-NEC (or equivalent)
        2. Affiliates must provide a completed W-9 (or W-8BEN for international Affiliates) before commissions exceeding $600 are paid
        3. The Company does not withhold taxes from commission payments
        4. The Affiliate is solely responsible for all tax obligations



        5. 5. Permitted and Prohibited Uses


          5.1 Permitted Uses


          The Affiliate may:


          1. Share their tracking link on personal social media, blogs, websites, and in personal communications
          2. Write honest reviews of AEOS products and services that include the tracking link
          3. Share the tracking link via email to personal contacts (not bulk or unsolicited email)
          4. Embed the tracking link in content they create (videos, articles, podcasts)

          5. 5.2 Prohibited Uses


            The Affiliate shall NOT:


            1. **Spam**: Send unsolicited bulk email, SMS, or direct messages containing the tracking link
            2. **Paid advertising without approval**: Run paid advertising (Google Ads, Facebook Ads, etc.) using AEOS or ROYL Technologies brand terms as keywords without prior written approval from the Company
            3. **Misrepresent**: Make false, misleading, or exaggerated claims about AEOS products, services, or earnings potential
            4. **Income claims**: Make earnings projections, income guarantees, or lifestyle promises related to the Affiliate Program
            5. **Impersonate**: Create websites, social media accounts, or communications that appear to be official Company channels
            6. **Cookie stuffing**: Use technical means to set tracking cookies without genuine user interaction
            7. **Self-referral**: Create fictitious accounts or use alternate identities to generate commissions on the Affiliate's own purchases
            8. **Incentivized clicks**: Offer payment, rewards, or other incentives solely for clicking the tracking link (without genuine purchase intent)
            9. **Brand misuse**: Use AEOS or ROYL Technologies trademarks, logos, or brand assets outside of the guidelines provided by the Company
            10. **Data harvesting**: Attempt to extract, scrape, or collect customer data through the Affiliate Program

            11. 5.3 Content Guidelines


              When promoting AEOS products, the Affiliate must:


              1. Clearly disclose their Affiliate relationship (e.g., "This is an affiliate link" or "#ad" or "#affiliate")
              2. Comply with all FTC guidelines regarding endorsements and testimonials
              3. Present only truthful and substantiated claims about products and services
              4. Not use deceptive headlines, thumbnails, or subject lines to drive clicks



              5. 6. Intellectual Property


                6.1 No IP Ownership


                The Affiliate acquires no ownership interest in any intellectual property of AEOS LLC or ROYL Technologies LLC. All trademarks, service marks, trade names, logos, copyrights, patents, and trade secrets remain the exclusive property of their respective owners.


                6.2 Limited License


                The Affiliate is granted a limited, non-exclusive, non-transferable, revocable license to use the Company's name and approved marketing assets solely for the purpose of sharing their tracking link in accordance with these Terms. This license terminates automatically upon termination of the Affiliate's participation.


                6.3 Restrictions


                The Affiliate shall not:


                1. Register any domain name, trademark, or social media handle containing "AEOS", "ROYL", or any confusingly similar term
                2. Create derivative works based on Company materials
                3. Reverse engineer, decompile, or attempt to derive the source code of any AEOS technology



                4. 7. Dashboard and Data


                  7.1 Affiliate Dashboard


                  Affiliates receive access to a simplified dashboard that displays:


                  1. Unique tracking link generator
                  2. Click and impression statistics
                  3. Conversion tracking (referrals that purchased)
                  4. Payout history and pending commissions
                  5. Countdown timers showing when each referral's 3-month window expires
                  6. Upgrade call-to-action for the Partner Certification Program

                  7. 7.2 What Affiliates Do NOT See


                    Affiliates do not receive access to:


                    1. CRM or contact details (leads route to the recruiting Partner's CRM)
                    2. Pipeline or deal management tools
                    3. AI agents or automation tools
                    4. Funnels or replicated websites
                    5. Team management or downline views

                    6. 7.3 Data Ownership


                      All data generated through the Affiliate Program (click data, conversion data, referral data) is owned by the Company. The Affiliate has access to view their own performance data through the dashboard but may not export, scrape, or use this data for any purpose outside the Affiliate Program.




                      8. Termination


                      8.1 Termination by the Company


                      The Company may terminate the Affiliate's participation at any time, with or without cause, by providing written notice via email or the Hub notification system. Common grounds for termination include:


                      1. Violation of any prohibited use (Section 5.2)
                      2. Fraudulent activity (self-referral, cookie stuffing, spam)
                      3. Misrepresentation of AEOS products, services, or earnings potential
                      4. Violation of applicable laws or regulations
                      5. Extended inactivity (no referral activity for 24 consecutive months)

                      6. 8.2 Effect of Termination


                        Upon termination:


                        1. The Affiliate's tracking link is deactivated immediately
                        2. Pending commissions that have been earned but not yet paid are paid in the next regular settlement cycle, unless termination is due to fraud
                        3. The Affiliate's access to the Affiliate dashboard is revoked
                        4. All obligations regarding prohibited uses, intellectual property, and content guidelines survive termination
                        5. If termination is due to fraud, all pending commissions are forfeited

                        6. 8.3 Voluntary Withdrawal


                          The Affiliate may stop participating at any time simply by ceasing to use their tracking link. There is no formal withdrawal process required. Pending commissions continue to be paid through regular settlement cycles until all 3-month windows expire.


                          8.4 Reinstatement


                          An Affiliate terminated for cause may apply for reinstatement after 12 months. Reinstatement is at the sole discretion of the Company. An Affiliate terminated for fraud is permanently barred from reinstatement.




                          9. Limitation of Liability


                          9.1 Disclaimer


                          THE COMPANY PROVIDES THE AFFILIATE PROGRAM "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT GUARANTEE ANY LEVEL OF EARNINGS, COMMISSIONS, OR REFERRAL SUCCESS.


                          9.2 Limitation


                          TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL LIABILITY TO THE AFFILIATE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO THE AFFILIATE IN THE 12 MONTHS PRECEDING THE CLAIM.


                          9.3 Exclusion


                          IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.




                          10. Dispute Resolution


                          10.1 Commission Disputes


                          1. The Affiliate must review their dashboard data before filing a dispute
                          2. Disputes are submitted through the Hub support system with the transaction ID(s) in question and supporting documentation
                          3. The Company has 14 business days to investigate and respond
                          4. Upheld disputes are corrected in the next settlement cycle

                          5. 10.2 Binding Arbitration


                            Any dispute arising out of or relating to these Terms that cannot be resolved through the support system shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration shall take place in the State of Florida or via remote hearing. The arbitrator's decision is final and binding.


                            10.3 No Class Actions


                            All disputes are resolved individually. The Affiliate waives any right to participate in a class action, collective action, or representative arbitration.


                            10.4 Time Limitation


                            All disputes must be filed within 90 days of the event or transaction in question. Disputes filed after 90 days are time-barred.




                            11. General Provisions


                            11.1 Amendments


                            The Company reserves the right to amend these Terms at any time by posting the updated Terms on the AEOS website and/or notifying the Affiliate via the Hub notification system. Continued participation in the Affiliate Program after the effective date of any amendment constitutes acceptance. Material changes to the commission rate or structure require 30 days advance notice.


                            11.2 Entire Agreement


                            These Terms constitute the entire agreement between the Company and the Affiliate concerning the Affiliate Program and supersede all prior agreements, representations, and understandings.


                            11.3 Severability


                            If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.


                            11.4 Assignment


                            The Affiliate may not assign or transfer their Affiliate status, tracking link, or any rights under these Terms without the prior written consent of the Company. The Company may assign these Terms to a successor entity or affiliate without the Affiliate's consent.


                            11.5 Governing Law


                            These Terms are governed by the laws of the State of Florida, without regard to conflicts of law principles.


                            11.6 Relationship to Partner Agreement


                            These Terms govern the Affiliate tier only. If an Affiliate upgrades to the Partner tier, the Partner Agreement supersedes these Terms for all matters covered by the Partner Agreement. Terms not addressed in the Partner Agreement (such as pre-upgrade referrals still within their 3-month window) continue to be governed by these Terms until expiry.

                            13. Quality Assurance Checklist
